He advises clients from the pre-acquisition stages of a transaction, including due diligence and preliminary agreements such as letters of intent, through negotiation and documentation of the definitive agreements such as asset purchase agreements and stock purchase agreements, retention of key personnel, and satisfaction of closing conditions.
Matt delivers an organized, efficient process enabling transactions to close on time and on target while mitigating any downtime to operations. Sell-side clients are successful entrepreneurs, privately held businesses and family-owned companies who benefit from Matt’s ability to maximize and preserve value through carefully understanding current business liabilities and risks, structuring practical limitations on warranties and post-closing indemnification risks. On the buy side, he represents operating companies seeking to grow market share by consolidating with competitors or enhancing their position by acquiring strategic targets in their supply or distribution chains.
